Terms and Conditions of Use
Welcome to Zuturno. These Terms and Conditions (the “Terms”) govern access to and use of the website https://www.zuturno.com, the desktop application and the associated services (collectively, the “Service”, the “Application” or “Zuturno”), operated by FATTY OINK S.A.S., a Colombian simplified stock company identified with NIT (Colombian tax ID) 902.114.793-4, domiciled in Bogotá D.C., Colombia, under the Zuturno brand (“Zuturno”, “we” or “our”). By registering, purchasing a license, downloading, installing or using the Application, you (“User”, “you” or “customer”) declare that you have read, understood and accepted these Terms and our Privacy Policy. If you do not agree, refrain from accessing or using the Service. Acceptance may be given, among other means, by completing the purchase, ticking a box or clicking an acceptance button, or installing or using the Application, and is recorded electronically.
IMPORTANT NOTICE: please read clauses 11 (acceptable use and the User’s sole responsibility), 14 (limitation of liability), 15 (indemnity) and 17 (suspension and termination) carefully. They establish that the User is solely responsible for how they use Zuturno and limit Zuturno’s liability to the extent permitted by law.
1. Definitions
- “Application” or “Service”: the Zuturno software, the website and related services.
- “License”: the limited right of use granted to the User according to the purchased plan.
- “License key”: the code that enables use of the Application on the number of devices allowed by the plan.
- “Subscription”: the recurring paid plan (monthly or annual, depending on the billing cycle chosen by the User) that grants access to the Service.
- “Payment processor”: the external provider that acts as Merchant of Record and manages charges.
2. Purpose and description of the Service
Zuturno is a personal productivity and automation software for Windows and macOS computers. Based on the settings the User chooses, it automates actions such as mouse movements, scrolling, clicks, keyboard activity, application switching and browser tab switching, in order to keep the computer active while the User is temporarily away: for example, to prevent the computer from going to sleep or locking the screen, to keep open sessions or applications from closing, or to keep an availability status from switching to “away” during a short break. The User decides which actions are enabled, at what intensity, and when to turn the Application on or off.
The Service is intended for personal productivity and automation. Zuturno does not promise or guarantee specific results with third-party software, platforms or services (including time-tracking, collaboration or team-management programs), in any version, configuration or future update. Any reference to third-party applications on our website is for technical-compatibility information only, does not imply affiliation with or endorsement by their owners, and does not constitute a guarantee of outcome.
3. Eligibility
The User declares that they are over eighteen (18) years of age, have the legal capacity to contract and accept these Terms on their own behalf. The Service is not directed at minors.
4. Registration, license and account
To purchase the Service, the User must provide a valid email address and truthful information. The use of false, non-existent or invalid emails may result in termination of the account and a ban on future purchases. It is the User’s sole responsibility to keep and safeguard the download links, the license key and other data from their purchase. Products can be downloaded from our downloads page, so the User is responsible for obtaining that information.
5. License of use
Subject to compliance with these Terms and the corresponding payment, Zuturno grants the User a limited, personal, non-exclusive, non-transferable and revocable license to install and use the Application on the number of devices allowed by their plan (the Personal plan enables one (1) computer and the Pro plan up to four (4) computers). The User may not:
- reverse engineer, decompile, disassemble or attempt to access the source code;
- modify, adapt, translate or create derivative works of the Application;
- distribute, sublicense, lease, lend, resell or commercialize the Application or the license key;
- circumvent or alter the licensing or security mechanisms.
6. Plans, prices and payments
The Service is offered under the plans and prices published on the website (Zuturno Personal and Zuturno Pro), billed monthly or annually. Our order process is conducted by our online reseller Dodo Payments, which acts as Merchant of Record for all our orders and is responsible for charging, issuing invoices or receipts, and calculating and collecting applicable taxes. Dodo Payments handles payment-related customer service inquiries and returns. Credit and debit cards and any other methods Dodo Payments enables at checkout for the User’s country are accepted. Zuturno does not receive or store full card details. By subscribing, the User authorizes recurring charges to their payment method until they cancel the subscription. Prices are expressed in United States dollars (USD); taxes are shown at checkout before the purchase is confirmed. The charge may appear on the User’s statement under Dodo Payments’ name. Renewal is automatic for equal periods unless cancelled beforehand. Failure to pay may result in suspension of access. Dodo Payments is the seller of record solely for charging, invoicing and taxes; FATTY OINK S.A.S. is the provider of the Service and is responsible to the User for its operation, the legal warranty and the handling of requests, complaints and claims (clause 23).
7. 7-day free trial
Each plan includes a seven (7) day free trial, available once per customer. Before confirming, checkout shows the selected plan, its price and the date of the first charge. If the User does not cancel before the trial ends, the subscription automatically converts to a paid subscription and the selected plan is charged. Cancelling during the trial incurs no charge. If the User has already used their free trial, a new subscription is charged from the first day, which is also shown at checkout.
8. Right of withdrawal (Law 1480 of 2011, art. 47)
In distance sales, the consumer has the right of withdrawal within the following five (5) business days, under article 47 of the Consumer Statute. However, in accordance with the law, this right does not apply, among others, to goods and services whose provision has begun with the consumer’s agreement before the expiration of the period, nor to consumer goods or those of immediate execution. Given that the Service is a digital product available for immediate download and use with the User’s consent, the right of withdrawal may not be applicable. Where applicable, the User may exercise it by writing to [email protected]. If the User resides in the European Union, the United Kingdom or another jurisdiction that grants a right of withdrawal for digital content, by requesting immediate access to the Application the User expressly asks for performance to begin before that period expires and acknowledges that, once it has begun, they lose that right to the extent permitted by applicable law.
9. Payment reversal (Law 1480 of 2011, art. 51)
In the events provided by law (for example, fraudulent or unsolicited transactions, or products not received), the consumer may request a payment reversal from the issuer of their payment method, a right these Terms do not limit. To exercise it, the consumer must file a complaint with us ([email protected]) and request the reversal from the issuer of their payment method within five (5) business days of learning of the transaction, under article 51 of Law 1480 of 2011 and its regulations. Writing to us is not a precondition for contacting the issuer; for access or billing issues, we are also glad to resolve them directly (clause 10).
10. Cancellation and refund policy
The User may cancel their subscription at any time, without penalty, from the link included in their payment receipt email or by writing to [email protected]. Cancellation stops future renewals, and access remains until the end of the period already paid. If the User is not satisfied, they may request a full refund of their first payment within fourteen (14) days of purchase by writing to [email protected] or through Dodo Payments. Outside that period, and except for the right of withdrawal where applicable or as required by law, renewal payments already made are non-refundable, including unused portions of the billed period. Where the law or Dodo Payments’ refund policy grants the User broader rights, those rights prevail. If the User has a problem with a charge (for example, a duplicate charge, a charge after cancelling, or a technical failure we cannot resolve), we ask them to write to [email protected] before opening a chargeback with their bank: we will review each case within five (5) business days and, where appropriate, the refund will be issued through Dodo Payments to the original payment method.
11. Acceptable use, prohibited uses and User responsibilities
Zuturno is intended for personal productivity and automation. Zuturno does not encourage, condone or support the breach of any employment contract, workplace policy, third-party terms of service or the law.
The User agrees to use the Application in accordance with the law, these Terms and the contracts, policies and rules that apply to them. In particular, the User may not use the Application to:
- carry out illegal, fraudulent or deceptive activities;
- breach an employment or services contract, an employer’s or client’s policy, or the terms of service of a third-party platform;
- report or bill as worked any hours or tasks they did not perform, or mislead an employer, client or third party about the work actually done;
- install or run it on third-party computers, accounts or systems without the owner’s authorization;
- gain unauthorized access to systems or data, improperly manipulate data or distribute malicious software;
- generate artificial clicks, visits, interactions or metrics on advertising, surveys, online games, social networks or other platforms, or gain an unfair advantage on them.
Before using Zuturno on a computer, account or work environment, the User is solely responsible for verifying that such use is permitted by their contract and the policies that apply to them. Any use in a professional or workplace environment is at the User’s own risk. If we become aware of use contrary to this clause, we may suspend or terminate the license under Clause 17.
The User acknowledges and agrees that Zuturno merely licenses a general-purpose software tool. Zuturno has no knowledge of or control over the computer, account, place, time or purpose for which the User uses it, and is not a party to the User’s employment, contractual or commercial relationships with their employer, clients, platforms or other third parties. The decision to install, configure, activate and use the Application rests solely with the User, who is solely responsible for its consequences towards those third parties and any authority.
Nothing published on the website, in the Application, in support or in our communications constitutes legal, employment or contractual advice. If the User is unsure whether their use is permitted, they must check with their employer, their client or a lawyer before using the Application.
Anyone who believes the Application is being used in violation of these Terms may report it to [email protected]. We will review the report and, where appropriate, take the measures provided for in clause 17.
12. Intellectual property
Zuturno and its software, including the code, trademarks, logos and other identity elements, are the exclusive property of its owner or its licensors, and are protected by intellectual property regulations. These Terms do not transfer any ownership rights to the User, but rather a limited license of use as per Clause 5.
13. Legal warranty
In accordance with the Consumer Statute, we recognize the legal warranty on the operation of the Application as offered. Said warranty covers the conformity of the software with its description, but does not include results that depend on factors beyond our control, such as the behavior or updates of third-party software or platforms, or the configuration of the User’s computer.
14. Disclaimer and limitation of liability
The Application is provided “as is” and “as available”. To the maximum extent permitted by law: (i) we do not guarantee that the Service will be uninterrupted or error-free, or that it will produce any particular result with third-party software or platforms; (ii) Zuturno is not liable for damages arising from use of the Application contrary to the law, these Terms or the contracts and policies that bind the User, which constitute the exclusive act of the User or a third party, including, without limitation, sanctions or disciplinary actions, loss of employment, termination of contracts, claims by employers or clients, and loss of income; (iii) Zuturno is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits; and (iv) Zuturno’s total and cumulative liability to the User shall not exceed the amount actually paid by the User for the Service during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for willful misconduct or gross negligence, or the non-waivable rights the law grants to consumers.
15. Indemnity
To the extent permitted by law, the User agrees to indemnify and defend Zuturno, its owner and its partners, employees and licensors against any claim, lawsuit, sanction, damage, cost or expense (including reasonable attorneys’ fees) brought by a third party —including employers, clients, platforms or authorities— arising from: (i) the User’s use of the Application contrary to the law, these Terms or the contracts and policies that bind them; (ii) breach of these Terms; or (iii) the User’s violation of third-party rights. Zuturno will notify the User of the claim and may participate in its defense with counsel of its choice. This obligation does not extend to damages caused by Zuturno’s willful misconduct or gross negligence.
Clauses 11, 14 and 15 do not limit the non-waivable rights that the Consumer Statute (Law 1480 of 2011) grants the User when acting as a consumer —in particular the legal warranty, the right of withdrawal and payment reversal— nor Zuturno's liability for the quality, suitability and safety of the Service.
16. Processing of personal data
The processing of personal data is carried out in accordance with Law 1581 of 2012, Decree 1074 of 2015 and other applicable regulations, and is governed by our Privacy Policy. The User has the right to know, update, rectify and delete their data and to revoke authorization, and may exercise these rights by writing to [email protected]. The Application is designed to work locally on the User’s computer and does not require access to their personal information, except for the registration and billing data necessary to provide the Service.
17. Suspension and termination
We may suspend or terminate the license and subscription, and deactivate the license key, immediately and without prior notice in the event of a serious breach of these Terms —in particular, the prohibited uses in clause 11—, fraudulent use or an order from a competent authority; in those cases periods already paid will not be refunded, except as required by law. In other cases of breach, we will notify the User by email so they can remedy it within five (5) days. If we decide to discontinue the Service or terminate the license for reasons not attributable to the User, we will refund the unused prorated portion of the paid period. Upon termination, the User must cease all use of the Application.
18. Changes to the Terms
We may update the Application and modify these Terms. The current version will be published on the website with its update date. When changes are material or affect the price or the User’s rights, we will announce them by email or within the Application at least fifteen (15) days in advance; if the User does not agree, they may cancel their subscription before the changes take effect, without penalty. Price changes will never apply to a period already paid. Continued use of the Service after the changes take effect constitutes acceptance.
19. Electronic communications
The User agrees that transactions, notifications and communications related to the Service are carried out by electronic means, with full validity under Law 527 of 1999. It is the User’s responsibility to keep a copy of these Terms and of the documents of their purchase.
20. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Colombia. If the User is a consumer in Colombia, they may go to the Superintendence of Industry and Commerce (SIC) or the competent courts, and nothing in these Terms requires them to go to arbitration. The parties will seek to resolve any dispute through direct settlement, for which the User will first write to [email protected]; if no settlement is reached within thirty (30) days, the dispute will be submitted to the competent courts of Bogotá D.C., Colombia. If the User resides outside Colombia, they retain the mandatory protections granted by the law of their country of residence. To the extent permitted by applicable law, claims will be brought individually and not as part of a class, collective or representative action. This rule does not apply to consumers in Colombia and does not limit the popular and group actions provided for in Law 472 of 1998.
21. General provisions
If any provision of these Terms is declared invalid or unenforceable, the others will retain full force. Tolerance or non-exercise of a right does not imply its waiver. The User may not assign these Terms without our prior consent; we may assign them within the framework of a reorganization or transfer of the business. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Service. Headings are for reference and do not affect interpretation. Neither party will be liable for non-performance caused by force majeure or acts of God, including failures of payment, hosting or connectivity providers beyond its control. Clauses 11, 12, 14, 15, 20 and 21 survive termination of the license. These Terms are published in Spanish, English and Portuguese; in case of discrepancy between versions, the Spanish version prevails.
If the User obtains the Application through a third-party store or distribution platform (for example, Microsoft Store or Apple), that platform is not a party to these Terms and is not responsible for the Application, its content, maintenance, support or warranty, or for any claims related to it; FATTY OINK S.A.S. is solely responsible. The platform's own terms of use also apply to the download and, in case of conflict regarding the download, prevail.
22. Sanctions and export control
The User declares that they are not located in a country or territory subject to comprehensive United Nations, United States or European Union sanctions or embargoes, are not on any list of sanctioned or restricted persons, and will not use or allow the use of the Application in violation of those rules. We may refuse or terminate the Service where necessary to comply with them.
